Your Dubai developer refused a resale NOC: next steps for US investors

Developer refused a NOC for your Dubai off-plan resale? US investors: compare the law with your SPA, get written reasons and escalate in the right order.

Short answer

  • When a developer refused a NOC for a resale in Dubai, US investors should separate what the law says from what the SPA says.
  • The law allows registered off-plan units to be sold (Law No. 13 of 2008, Art. 6), but the DLD says assignment needs the developer's No Objection Certificate.
  • A minimum paid before resale, commonly 30–40%, is developer policy written into the SPA, not a legal requirement.
  • The DLD can try to reach an amicable settlement but cannot force a NOC or cancel a contract; contested cases go to the Dubai Courts or arbitration.

Developer refused a NOC for a Dubai resale: what US investors should check first

A refusal is either within your SPA's terms or it is not, and the first job is to find out which. Five steps take you from the refusal email to a documented position.

  1. Get the refusal in writing

    With the clause relied on.
  2. Compare law and contract

Art. 6 and 7 against your SPA.
  3. Fix what can be fixed

    Amount paid, documents.
  4. Escalate through Dubai channels

    DLD settlement, then a lawyer.
  5. Decide your fallback

Keep the contract in good standing.

Step 1: Why did the developer refuse the NOC, and is it in writing?

Ask for the reason and the clause relied on, in writing. A No Objection Certificate (NOC) is the developer's written consent; the DLD FAQ says assignment is possible "only after obtaining" one. Ask which SPA clause the refusal relies on.

Write during the developer's working day. Dubai is 8 hours ahead of New York and 11 ahead of Los Angeles until November 1, 2026, then 9 and 12.

Step 2: What does the law say versus what my SPA says?

Dubai law permits resale of registered units and limits fees; your SPA can add conditions such as a minimum paid. Put the two side by side.

Law versus a typical SPA on pre-handover resale
QuestionDubai law and DLDYour SPA (check it)
Can a registered unit be resold?Yes: Law 13/2008 Art. 6May set conditions
Is developer consent needed?Yes: NOC required (DLD FAQ)Sets the NOC process
Minimum paid before resale? No legal minimum foundOften 30–40% (developer policy)
Fees for the NOC?Only DLD-approved admin costs (Art. 7)States the fee
Is the sale registered?Must be in the Interim Register (Art. 3)Assigns registration steps

Step 3: Can I fix the reason for the refusal?

Many refusals turn on facts you can change, such as the amount paid or missing documents. Example: if a hypothetical SPA requires 40% paid and you have paid 35%, a further payment may meet the condition; confirm the exact figure in writing before you wire.

Step 4: How do US investors escalate a refused NOC in Dubai?

Escalate from the developer to the DLD to a UAE-qualified lawyer, keeping every message. The DLD can try to settle buyer–developer disputes, and a settlement it approves is binding. It cannot compel a NOC or cancel a contract; claims go to the Dubai Courts, or to arbitration if your SPA says so.

Step 5: If the resale stays blocked, what are my other options?

Keep the contract in good standing while you work on the NOC, because a missed installment opens a separate and costlier process. Under Article 11 of Law No. 13 of 2008, as amended by Law No. 19 of 2020, a defaulting buyer can lose up to 25% or 40% of the unit value, depending on the whole project's completion.

Be wary of fee requests from third parties. If anyone asks you to wire money to a personal account to unlock the NOC, report it to the FBI's IC3 at ic3.gov and the FTC at ReportFraud.ftc.gov, and tell your bank at once.

Is it lawful when a Dubai developer won't allow resale of an off-plan unit by US buyers?
A Dubai developer's NOC is required before any off-plan assignment, according to the DLD FAQ, and many SPAs set conditions such as a minimum share of the price paid. Whether a specific refusal is lawful depends on the SPA's terms and, if disputed, on a Dubai court or arbitrator. The rules are the same for US buyers.
Is there a legal minimum I must pay before a Dubai resale?
No legal minimum payment before a Dubai off-plan resale was found in the law. Developers commonly require 30–40% of the price paid before issuing a NOC, and that requirement comes from the developer's policy as written into the SPA. Check your contract's resale clause for the figure that applies to you.
Can the DLD order my developer to issue a NOC?
The Dubai Land Department can try to reach an amicable settlement between a buyer and a developer over a refused NOC, and a settlement it approves is binding. The DLD FAQ says its role is limited to amicable settlement, so a buyer seeking a binding order generally needs the Dubai Courts or arbitration.
Where do I start contesting a NOC refusal from the US?
A US-based buyer contesting a Dubai NOC refusal starts by writing to the developer for its reasons, then asking the DLD to attempt a settlement and instructing a UAE-qualified lawyer. The State Department can provide a list of local attorneys but cannot recommend one or act for you.
