Developer refused NOC for your resale in Dubai? Compare what the law allows with your SPA's terms, check the official facts and see where to escalate.

Short answer

  • Dubai law lets a registered off-plan unit be sold before handover (Law No. 13 of 2008, Article 6), but the DLD says assignment needs the developer's No Objection Certificate (NOC).
  • The most common reason a NOC is refused is a contract condition, usually a minimum share of the price paid, commonly 30–40%.
  • Developers may charge only DLD-approved admin costs on a resale (Article 7), so a demand for a large extra fee is worth questioning in writing.
  • The DLD can broker an agreement with the developer, and one it approves binds both sides; it cannot cancel your contract.
  • If no settlement is reached, claims go to the Dubai Courts, or to arbitration if your SPA says so.

A developer refused the NOC for your resale in Dubai, and your buyer is waiting. The first job is to work out whether the refusal rests on your contract or on nothing at all, because the next step is different in each case.

This guide sets the law next to the typical SPA terms, lists the documents to request and explains where a dispute can go. It covers Dubai only.

Two terms first. A NOC (No Objection Certificate) is the developer's written consent to the transfer. The SPA (Sale and Purchase Agreement) is the contract that sets the conditions for it.

Developer refused a NOC for resale in Dubai: law or contract?

Most refusals rest on a condition in the SPA, not on the law. The law allows the sale; the contract usually decides when.

a buyer who had paid 10 per cent, writing to Gulf News' Ask the Law · Gulf News, Nov 2023

Gulf News reported in 2018 that developers started requiring around 30%, sometimes 40%, paid before resale in the second half of 2017. dubizzle (2024) gives the same 30–40% range "depending on the contract and the developer's policy." The figure in your own SPA is the one that applies to you.

Developer won't allow resale of your off-plan unit? Common reasons

Refusals usually fall into a few groups. Identifying which one applies tells you whether there is anything to dispute.

  • Minimum share of the price not yet paid under the SPA
  • Overdue installments or unpaid charges on the unit
  • Missing documents, such as identity papers or a signed buyer form
  • A resale restriction tied to a construction stage in the SPA
  • No stated reason, or a fee demand above DLD-approved admin costs

The first four are contract conditions you can often meet. The last one is the situation where a written challenge makes sense, because Article 7 of Law 13/2008 bars developers from charging resale fees other than administrative costs approved by the DLD.

What should you do when a NOC is refused in Dubai?

Get the refusal and its reason in writing, then match it against your SPA clause by clause. A dated paper trail is what the DLD, a lawyer or a court will ask for first.

  1. Ask for the reason in writing

Email the developer asking which SPA clause or condition the refusal rests on, and what you would need to do to meet it.
  2. Check your SPA

Find the resale clause, the minimum share paid and any construction-stage condition. Compare them with your payment receipts.
  3. Confirm your registration

Make sure your Oqood provisional registration certificate is in your name. A sale of an unregistered unit is void under Article 3(1).
  4. Meet the condition, or document why you already have

If the threshold is the issue, consider whether paying up to it is realistic. If you are already past it, send the receipts.
  5. Escalate if the refusal has no basis

Ask the DLD to attempt an amicable settlement, or take advice on a claim in the Dubai Courts or under the SPA's arbitration clause.

Where can you escalate when your resale is blocked before handover?

There are two formal routes in Dubai: DLD conciliation and the courts or arbitration. The DLD can try to settle a developer–buyer dispute, but it cannot cancel your contract.

For a refused NOC, the DLD route means asking it to broker an agreement with the developer; Khaleej Times notes that an agreement the DLD approves binds both sides. What the DLD will not do is end your contract or order a transfer itself.

Do not file at the Rental Disputes Center. The DLD FAQ directs lease-contract complaints there, and an off-plan resale dispute is not a lease matter. Our guide to off-plan disputes with a developer sets out the routes in more detail.

What if you also can't keep paying?

A blocked resale and a missed installment together create time pressure. If a payment is missed, the developer can start the default process under Article 11 of Law No. 13 of 2008, as amended by Law No. 19 of 2020.

That process starts with a DLD notice and a 30-day window, during which the DLD may mediate. A revised schedule or a resale arrangement agreed there is attached to the SPA as a signed addendum. Read what happens after a missed off-plan payment before the deadline passes.

Which facts should you gather before escalating?

The project's public record helps you frame the dispute. A developer's conduct on one unit sits inside a wider record of registration, escrow and progress.

Our guide to selling off-plan before handover covers the normal resale process and fees. Before writing to the DLD or a lawyer, check the developer's registry facts so your letter cites the official status.

Can a Dubai developer legally refuse a resale NOC?
A Dubai developer can refuse a resale NOC when the seller has not met a condition in the SPA, such as a minimum share of the price paid. The law permits resale of registered units, so a refusal with no contractual basis can be raised with the DLD for amicable settlement or taken to the Dubai Courts or arbitration.
What is the usual minimum payment before a resale NOC in Dubai?
The usual minimum payment before a resale NOC in Dubai is set by the developer's SPA, not by law. Gulf News and dubizzle report thresholds commonly between 30% and 40% of the purchase price. The exact percentage, and any construction-stage condition, appears in the resale clause of your own contract.
Can the DLD force the developer to issue a NOC?
The DLD can try to reach an amicable settlement between a buyer and developer, and a settlement it approves is binding, according to Khaleej Times. The DLD's own FAQ says it cannot terminate contracts, and its role is limited to settlement. Orders beyond that come from the Dubai Courts or an arbitrator.
Is a large NOC fee allowed for an off-plan resale?
A developer's NOC fee on an off-plan resale in Dubai is limited by Article 7 of Law No. 13 of 2008, which bars resale fees other than administrative costs approved by the DLD. Khaleej Times reported NOC fees of AED 1,000 to 5,000 plus VAT in 2022. Ask for any higher figure's basis in writing.
