Short answer
- Dubai law lets registered off-plan units be sold (Law No. 13 of 2008, Article 6), but the DLD says assignment is possible only after the developer issues a No Objection Certificate (NOC).
- The most common reason for refusal is the SPA's minimum-paid threshold, often 30–40% of the price; that is a contract term, not law.
- Developers may not charge resale fees beyond DLD-approved administrative costs (Article 7).
- The DLD can attempt an amicable settlement but cannot cancel or rewrite your contract; disputes the parties cannot settle go to the Dubai Courts or arbitration.
- Canadian consular officials cannot intervene; they can provide a list of local lawyers.
When a Dubai developer refuses an NOC for a resale, Canadian buyers may assume the law has been broken. Sometimes it has not: the SPA may allow the refusal. The first task is to separate what Dubai law says from what your contract says, then decide whether to wait, negotiate or escalate.
Working through an NOC refusal
Why would a developer refuse an NOC for a resale by Canadian buyers?
Most refusals point to a contract condition. Developers commonly require 30–40% of the price paid before resale, dubizzle reported in 2024, "depending on the contract and the developer's policy"; arrears or an open default can also block an NOC.
…allow me to sell the property, but the developer refuses…
| Issue | Dubai law | Typical SPA position |
|---|---|---|
| Right to sell | Registered units may be sold (Art. 6) | Allowed with developer NOC |
| Developer consent | NOC required (DLD FAQ) | Conditions for issuing it |
| Minimum paid | No legal minimum found | Often 30–40% of price |
| Resale fees | Admin costs approved by DLD only (Art. 7) | Fee stated in schedule |
When the developer won't allow a resale: what can you check from Canada?
Check three things: your paid-to-date total, your registration, and the exact clause cited. A refusal that cites no clause is the first thing to challenge in writing.
Facts to establish
…refused to transfer the property to a new buyer, whom I brought instead.
What can Canada investors do after an NOC is refused?
Negotiate first, then use the DLD, then the courts. The DLD may try to settle developer and buyer disputes, and a settlement it approves is binding under ECR 6/2010, Article 14, as reported by Khaleej Times; but the DLD cannot terminate or rewrite a contract.
Escalation from Canada
Where do Canadian authorities fit in?
Mostly on the edges, with one notable exception in British Columbia. The Canadian Consular Services Charter says consular officials cannot intervene in private legal matters but can provide a list of local lawyers.
Securities regulators may matter too. If the unit came with a promised-return or rental-pool pitch, the Canadian Securities Administrators advise checking that whoever advised you is registered, using the National Registration Search.
Keep your time zones straight when negotiating: Dubai is 8 hours ahead of Toronto until 1 November 2026, then 9, and 11 hours ahead of Vancouver all year. A buyer you found in Dubai may lose interest while emails cross overnight, so put deadlines in Dubai time in every message.
