Developer refused a NOC for your Dubai resale: law versus SPA for UK investors

Developer refused NOC, resale, Dubai, UK investors: what the law says, what your SPA says, and how to challenge a refusal from Britain, step by step.

Short answer

  • Developer refused NOC, resale, Dubai, UK investors? First compare the refusal with two sources: the law, which allows registered off-plan units to be sold, and the SPA, which usually sets a minimum paid before resale.
  • The DLD says assignment is possible only after the developer issues a No Objection Certificate.
  • Minimum-paid thresholds, commonly 30–40%, are developer policy written into SPAs, not law.
  • Developers may charge only DLD-approved administrative costs on resales (Law No. 13 of 2008, Art. 7).
  • Disputes go to the DLD for amicable settlement, then to the Dubai Courts or arbitration.

Developer refused NOC, resale, Dubai, UK investors: what can I do?

Find out the stated reason, in writing, and test it against your SPA. The Dubai Land Department (DLD) FAQ says a unit or deferred sale contract can be assigned only after the developer issues a No Objection Certificate (NOC), so the refusal blocks the sale until it is resolved.

Refusals usually turn on a paid-percentage threshold, arrears or fees, so the written reason matters.

What does the law say versus what my SPA says?

The law makes resale possible; the SPA sets most of the conditions. The table separates the two.

Resale rules: law versus your SPA
QuestionWhat the law saysWhat the SPA usually says
Can a registered unit be sold?Yes, Law No. 13 of 2008, Art. 6Repeats or adds conditions
Is a developer NOC needed?Yes, per the DLD FAQSets the application process
Minimum paid before resale? No legal minimumOften 30–40% (developer policy)
What fees can the developer charge?Only DLD-approved admin costs, Art. 7Lists the NOC fee

dubizzle (2024) describes 30–40% "depending on the contract and the developer's policy". Below your SPA's threshold, a refusal may well be within the contract.

Developer won't allow resale (off-plan, British buyers): what to check?

Work through the common reasons one by one. Most refusals fall into a short list.

Reasons to check against your SPA and payments

If the unit was never registered, the DLD FAQ points to its Real Estate Registration Assurance section. For excess fees, Article 7 of Law No. 13 of 2008 is the reference point.

NOC refused, Dubai, UK buyers: how do I escalate?

Step by step, in writing, starting with the developer. The general dispute routes apply.

  1. Request the reason in writing

Ask which SPA clause the refusal relies on and what would change the answer. Note both London and UAE times in your log.

  2. Meet the condition if you can

If the issue is the paid threshold or arrears, a payment or a revised plan may unlock the NOC.

  3. Ask the DLD to mediate

The DLD may try to settle developer–buyer disputes, and a settlement it approves is binding. It cannot cancel contracts.

  4. Take legal advice

A UAE-qualified lawyer can assess a claim in the Dubai Courts or under the SPA's arbitration clause.

The UK guide to disputes with a developer explains the court stage. If you wanted to sell because you can no longer pay, read the UK guide to a missed payment before the next due date.

What help is there in the UK?

Mostly practical, not legal. No UK body can order a Dubai developer to issue a NOC.

NOC required
Yes

Legal minimum paid
None
SPA policy, often 30–40%
Developer resale fees
DLD-approved admin only

Can a Dubai developer legally refuse a NOC for resale?

A Dubai developer can refuse a NOC for resale where the SPA's conditions are not met, such as a minimum paid percentage, commonly 30–40%, or outstanding instalments. The law allows registered off-plan units to be sold, but the DLD says assignment needs the developer's NOC. Whether a particular refusal is justified depends on the SPA.

Is there a legal minimum I must pay before reselling Dubai off-plan?

No Dubai law sets a minimum amount a buyer must pay before reselling an off-plan unit. The 30–40% thresholds reported by Gulf News and dubizzle are developer policy written into SPAs. Check your own SPA for the figure that applies, because the developer can rely on it when deciding whether to issue a NOC.

Can UK buyers complain to the DLD when a NOC is refused?

UK buyers can ask the Dubai Land Department to try an amicable settlement when a developer refuses a NOC, and a settlement the DLD approves is binding. The DLD cannot cancel or rewrite the contract. If settlement fails, the dispute can go to the Dubai Courts or to arbitration if the SPA contains an arbitration clause.

What fees can a developer charge for a Dubai resale NOC?

A Dubai developer may not charge fees on off-plan resales except administrative costs approved by the DLD, under Article 7 of Law No. 13 of 2008. Khaleej Times reported in 2022 that NOC fees ranged from AED 1,000 to 5,000 plus VAT, depending on the developer. Ask for any fee in writing.
