How American buyers sell off-plan before handover in Dubai: a resale playbook

How American buyers sell off-plan before handover in Dubai: the developer NOC, typical 30–40% paid thresholds, fees, and the US records to keep.

Short answer

  • American buyers can sell off-plan before handover in Dubai: Law No. 13 of 2008, Art. 6, lets registered off-plan units be sold, mortgaged or otherwise disposed of.
  • The DLD says assigning the unit to a third party is possible "only after obtaining a No Objection Certificate from the developer".
  • Developers commonly require 30–40% of the price paid before they issue a NOC; that is developer policy in the SPA, not law.
  • US citizens and resident aliens are taxed on worldwide income, so keep purchase and sale records for your US tax adviser.

Sell off-plan before handover in Dubai: how it works for American buyers

A pre-handover resale is a legal assignment of your registered off-plan unit, which needs the developer's approval and runs through the Dubai Land Department (DLD) records. Six steps put the paperwork in order.

  1. Confirm your unit is registered

    Oqood first.
  2. Find the resale clause in the SPA

    Threshold, NOC, fees.
  3. Check how much you have paid

    Against the threshold.
  4. Price the costs

    NOC, transfer and agent fees.
  5. Request the NOC in writing

    Timed for Dubai hours.
  6. Keep the US records

    Wires, proceeds, tax file.

Step 1: Is my unit registered so it can be resold?

Only a unit entered in the Interim Property Register can be lawfully resold. Law No. 13 of 2008, Art. 3(1), says any sale of an off-plan unit is void unless registered, and Art. 6 allows registered units to be sold. The developer registers your purchase through the DLD's Oqood system, and you receive a provisional registration e-certificate.

Step 2: What are the off-plan resale rules in Dubai for US investors?

The law allows resale; your SPA sets the conditions. The DLD FAQ requires the developer's NOC for any assignment. Article 7 of Law No. 13 of 2008 bars developers from charging fees on resales, except administrative costs approved by the DLD.

Step 3: Have I paid enough to assign the off-plan contract?

Compare what you have paid with the threshold in your SPA. Gulf News reported in 2018 that developers began requiring about 30%, sometimes 40%, paid before resale from late 2017.

Check the project's registration and status so you can show a prospective buyer the public record.

Step 4: What will the resale cost, in dollars?

List every fee in AED and convert at the fixed peg of 1 USD = AED 3.6725.

Example: hypothetical AED 1,101,750 resale price ($300,000)

The 4% figure comes from secondary sources, not an official DLD off-plan resale fee page; treat it as typical.

Step 5: How do I request the NOC from the US?

Send a written NOC request quoting your unit, SPA date, Oqood number and amount paid, and ask for the fee and timeline in writing. Dubai is 8 hours ahead of New York and 11 ahead of Los Angeles until November 1, 2026, so an evening email reaches the developer's morning.

If the developer refuses, see what to do when a Dubai developer refuses a resale NOC.

Step 6: What US records should I keep from the sale?

Keep every purchase wire, the SPA, the NOC, the resale agreement and the proceeds record in one file. The IRS says US citizens and resident aliens are "subject to tax on worldwide income from all sources", so a resale may need reporting; ask a US tax adviser.

Proceeds paid into a UAE bank account matter too. IRS guidance says foreign real estate held directly is not a specified foreign financial asset for Form 8938, but a UAE bank account may need to be reported, and an FBAR is required if foreign accounts total more than $10,000 at any time in the year. Can US investors assign an off-plan contract in Dubai?
US investors can assign an off-plan contract in Dubai if the unit is registered in the Interim Property Register and the developer issues a No Objection Certificate. Law No. 13 of 2008 allows registered units to be sold, and the DLD FAQ says assignment is possible only after the developer's NOC. The SPA sets any paid-before-resale threshold.
How much must I pay before reselling a Dubai off-plan unit?
The amount a buyer must pay before reselling a Dubai off-plan unit is set by the developer in the SPA, not by law. Press and portal sources report developers commonly require 30–40% of the price paid before issuing a NOC. Check your own contract's resale clause for the exact figure.
What does a Dubai developer charge for a resale NOC?
A Dubai developer's resale NOC fee is limited by Law No. 13 of 2008, Art. 7, to administrative costs approved by the DLD. Khaleej Times reported in 2022 that NOC fees ranged from AED 1,000 to AED 5,000 plus VAT, about $272 to $1,361 at the fixed peg, varying by developer.
Do I report a Dubai off-plan resale to the IRS?
US citizens and resident aliens are subject to tax on worldwide income, so a profit on a Dubai off-plan resale may need reporting to the IRS. Proceeds held in a UAE bank account can also trigger FBAR or Form 8938 reporting. This is general information only; ask a US tax adviser about your case.
